Services Provided

Simplify It Labs provides web development, website maintenance, SEO optimization, and related digital services for small businesses. Our services include but are not limited to:

Website design and development
Website maintenance and updates
Search engine optimization (SEO)
Website hosting and management
Content updates and edits
Technical support and consulting

Client Responsibilities

As a client, you agree to:

Provide accurate and complete information when requested
Provide timely feedback and approvals as needed for project completion
Maintain the confidentiality of any login credentials we provide
Ensure you have the legal right to use any content you provide to us
Pay for services according to the agreed-upon terms

Payment Terms

Project-Based Work

A deposit may be required before work begins
Payment schedules will be outlined in individual project proposals
Final payment is due upon project completion unless otherwise agreed

Monthly Services (Partner Plan)

Monthly fees are billed in advance
Payment is due on the same date each month
Services may be suspended for non-payment after 15 days

Late Payments

Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances.

Intellectual Property

Your Content

You retain ownership of all content (text, images, logos, etc.) that you provide to us. By providing content, you grant us a license to use it for the purpose of delivering our services.

Our Work

Upon full payment, you will own the custom website code and design created specifically for your project. However, we retain the right to:

Display the work in our portfolio
Reuse general frameworks, components, and techniques
Reference the project in marketing materials

Third-Party Assets

Some projects may include third-party software, plugins, or assets that are subject to their own licensing terms. We will inform you of any such components and their applicable licenses.

Website Hosting

For clients using our hosting services:

We strive for 99.9% uptime but do not guarantee uninterrupted service
We perform regular backups but recommend maintaining your own backups
We reserve the right to suspend hosting for violations of acceptable use policies
You are responsible for the content hosted on your website

Cancellation and Refunds

Project Cancellation

If you cancel a project:

Deposits are generally non-refundable
You will be billed for work completed up to the cancellation date
Any unused prepaid amounts may be refunded at our discretion

Monthly Service Cancellation

For the Partner Plan and other monthly services:

You may cancel at any time with 30 days written notice
No refunds for partial months
We will assist with transitioning your website to another provider upon request

Limitation of Liability

To the maximum extent permitted by law:

Simplify It Labs shall not be liable for any indirect, incidental, special, or consequential damages
Our total liability shall not exceed the amount paid by you for the services in question
We are not responsible for any loss of data, revenue, or business opportunities

We make no warranties, express or implied, regarding the results you may achieve from our services or the suitability of our services for your particular needs.

Indemnification

You agree to indemnify and hold harmless Simplify It Labs, its owners, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from:

Your use of our services
Your violation of these Terms
Content you provide that infringes on third-party rights

Acceptable Use

You agree not to use our services to:

Engage in any illegal activity
Distribute malware, spam, or harmful content
Infringe on intellectual property rights
Harass, defame, or harm others
Overload or interfere with our systems

We reserve the right to terminate services immediately for violations of acceptable use policies.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Essex County, Massachusetts.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
